What a SAFE is and why it became the standard for early rounds
A SAFE (Simple Agreement for Future Equity) is an agreement for a future equity stake: the investor puts in money now and receives equity at the next round, when a new investor prices the company. The key advantage is that there is no need to argue about valuation at the earliest stage, when justifying it is most difficult.
Unlike a loan, a SAFE does not get repaid in cash and creates no debt burden: the investment converts into equity. The key parameters fixed in a SAFE are the cap (the valuation ceiling for conversion) and the discount (the investor's reduction on the next round price). We help structure these terms so the founder does not give away too much while the investor gets clear, predictable conditions.
